Terms and Conditions for Taberna

1. Introduction

Welcome to “Taberna” (“Service”), a proprietary service offered by The Dots Connected (“Company”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) constitute a legally binding agreement that governs your access to and use of our Service, designed to enable efficient sharing and management of reports and content among businesses. By accessing or using our Service, you signify your irrevocable acceptance of these Terms. If you disagree with any part of the Terms, you must discontinue use of the Service immediately.

Effective Date and Acceptance of Terms

The effective date of this Agreement is the earlier of (a) the date of your initial access to the Service via any online provisioning, registration, or order process, or (b) the date of the first order form referencing this Agreement (“Order”). This Agreement governs your initial and all future uses of the Service. Your continued use of the Service constitutes your ongoing agreement to these Terms as amended from time to time.

2. Definitions

• “User”: Any business entity or individual authorized by a business entity that creates an account and uses our Service.
• “Content”: All digital materials, including but not limited to reports, documents, graphics, and multimedia, uploaded, stored, or shared through the Service.
• “Account”: The registered account through which Users access the Service.
• “Administrator”: A User assigned by the Customer to manage the Customer’s Service account, including but not limited to the management of User permissions and Customer Content.
• “Affiliate”: Any entity that directly or indirectly controls, is controlled by, or is under common control with a party, where “control” involves ownership of 50% or more of the voting stock, shares, interest, or equivalent.
• “Order”: A detailed document or electronic confirmation that sets forth the specifics of the Service subscribed to by the Customer, including fees, subscription term, and scope of license.

3. Account Registration and Security

Account Obligations

Users must register for an Account to access and use the Service, agreeing to:

• Provide accurate, current, and complete information about themselves and their organizations.
• Maintain the security and confidentiality of their account login information.
• Promptly update all information to keep their Account current, complete, and accurate.
• Accept all risks of unauthorized access to information and Registration Data.

Administrative Control

Customers may designate an Administrator who will have the authority to configure the Service based on the Customer’s requirements and manage end-user accounts. The Customer is fully responsible for:

• The selection of any Administrator.
• All actions of the Administrator.
• Ensuring all activities that occur in connection with the Account comply with these Terms.

4. Intellectual Property Rights

Ownership and Rights

All intellectual property rights in the Service, including software, accompanying documentation, and all other materials provided by us, remain the exclusive property of The Dots Connected or its licensors. Except for the license expressly granted hereunder, no other rights or licenses are granted, explicitly or implicitly.

License Grant

Subject to these Terms, we grant the Customer a non-exclusive, non-transferable, revocable license to use the Service for its internal business operations. This license does not include any right to sublicense or distribute the Service.

Customer Responsibilities and Ownership

• Your company retains ownership of all Content uploaded to the Service.
• By uploading Content, your company grants us a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and distribute your Content as necessary to provide the Service.
• You are responsible for the types and content of all Customer Content you submit to the Service.
• You maintain control over the types and content of all Customer Content and are fully responsible for its legality, reliability, and appropriateness.

5. Use of the Service

The Service is provided to the Customer and its Users under these Terms. The Customer agrees to use the Service only for lawful business purposes and in compliance with all applicable local, state, national, and international laws and regulations.

6. Data Privacy and Security

We are committed to protecting the security of your data and will implement industry-standard technical and organizational measures designed to secure your data from accidental loss and from unauthorized access, use, alteration, or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

7. Fees and Payment

Fees for the Service will be set forth in the applicable Order. All fees are due net 14 days from the invoice date unless otherwise stated in the Order. Late payments may be subject to interest charges. In the event of late payment, we reserve the right to suspend or terminate your access to the Service. Specifically:

• Payment Delay: If payment is delayed by more than 30 days, we reserve the right to suspend your access to the Service until all outstanding payments are made in full.
• Account Termination for Non-Payment: If an account remains delinquent for more than 30 days following suspension for non-payment, we may terminate the account. Upon termination for non-payment, we reserve the right to delete the account and all associated data permanently.

9. Disclaimers and Limitations of Liability

The service is provided “as is” and the dots connected hereby disclaims all warranties, whether express, implied, statutory, or otherwise. The Dots Connected specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and all warranties arising from course of dealing, usage, or trade practice.

In no event will The Dots Connected be liable to the customer or any third party for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if advised of the possibility of such damages.

10. Modification and Termination

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We may terminate these Terms and your access to the Service if you breach any provision of these Terms, including but not limited to, failure to make timely payments.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of laws rules.

12. General Provisions

These Terms constitute the entire agreement between you and The Dots Connected concerning your use of the Service. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
